Terms of service

These terms are an agreement between you and Dizay LLC, a Wyoming limited liability company with its principal office at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("dizay", "we", "us"), for the use of the dizay apps and website (the "Service"). By creating an account or using the Service you accept them. If you do not agree, please do not use dizay. If you are a consumer, nothing in these terms removes the rights the law of your country gives you.

1. The Service

dizay is a personal task, notes and reminders workspace with an optional AI assistant and optional tools, available on the web, Android and iOS. Some features require an internet connection; others work offline and synchronise later. We may add, change or remove features over time, and we give reasonable notice for changes that materially reduce a paid feature.

2. Your account

• You must be at least 13 years old (or the age of digital consent in your country, if higher) to use dizay. If you are under 18, a parent or guardian must agree to these terms for you.
• Keep your password and second factor confidential. You are responsible for activity under your account. Tell us at once if you suspect unauthorised use.
• Give us accurate information (including a working email address) and keep it up to date. Registration may be invitation-only during the launch period.
• One person per account. You may use it on several of your own devices.

3. Your content

Everything you put into dizay (tasks, notes, drawings, recordings, chats, contacts, vault items) stays yours. You grant us only the limited, worldwide, non-exclusive licence needed to store, sync, back up, display and process it in order to run the Service for you, including sending it to AI or speech providers when you use those features and showing it to people you choose to share it with. We do not claim ownership, we do not use your content for advertising, and we do not use it to train models.

You are responsible for your content and must have the right to store and share it. Do not use dizay to store or share content that is illegal, infringes someone else's rights, or contains malware. If we receive a valid notice that content infringes rights, we may remove it and will tell you where the law allows.

4. Acceptable use

Do not: attempt to access other users' data; probe, scan or overload our systems; circumvent limits or security; reverse-engineer the Service except where the law allows; resell, sublicense or provide the Service to third parties; use automated means to create accounts; or use the AI assistant to generate content that is unlawful, harmful, or that violates our providers' usage policies. We may suspend or terminate accounts that break these rules, after notice where reasonable.

5. AI assistant

The assistant produces suggestions from your input using third-party AI models. Its output can be wrong, incomplete or out of date. Review suggestions before relying on them, especially dates, amounts and anything with legal, financial or medical consequences. Task changes proposed by the assistant are applied only when you confirm them, and all changes are recorded in your history. On the Free plan the assistant runs on a provider connection you add; you are responsible for that provider's charges and terms. On Pro, an included allowance applies; we tell you in the app when you approach it.

6. Optional tools and other people's data

Optional tools (contacts and call handoff, loans and IOUs, shared expenses, password vault, authenticator codes, prayer times, selective sharing) are off by default and can be switched on per account. When you enter details about other people, you confirm you have a legitimate reason to do so and, where required, their permission. Balances, loans and expenses recorded in dizay are your own records; dizay is not a party to those arrangements and does not move money. The vault and authenticator tools store what you enter; keep your own backup of critical credentials, and note that a lost vault key cannot be recovered by us.

7. Plans, payment and renewal

• Free includes the core workspace at no cost and may show ads (see the privacy policy).
• Pro is a paid subscription billed monthly or yearly. The price, billing period and what is included are shown on the pricing section and on the purchase screen before you subscribe, in USD unless the store you use shows a local price. Taxes (VAT, GST, sales tax) may be added or included depending on your country; on the website they are calculated at checkout.
• Automatic renewal: subscriptions renew automatically at the end of each period, at the then-current price, until you cancel. Cancel at least 24 hours before the renewal date to avoid the next charge. You can cancel at any time in the app's subscription settings, through the Stripe customer portal or PayPal for website purchases, or through the App Store or Google Play if you subscribed there.
• Where you pay: payments made on the website are processed by Stripe or PayPal; dizay does not store card numbers. Payments in the mobile apps are processed by Apple or Google under their own terms, and Apple or Google is the merchant for those purchases.
• One subscription per account: a purchase from a second source while another subscription is active is refused with an explanation. Entitlements follow your account, not your device; use "Restore purchases" on a new device.
• Trials and promotions: one free trial per person and plan; we state the trial length and the price after it before you start. Promotional prices revert to the standard price shown at purchase when the promotion ends.
• Price changes: we notify you at least 30 days before a new price applies to your next renewal; store purchases follow Apple's and Google's consent rules.
• Failed payments: if a renewal payment fails we retry and may pause Pro features until payment succeeds; you keep access to your data.
• Refunds are handled according to our refund and cancellation policy.

8. Cancellation and termination

You may stop using dizay and delete your account at any time (see the account deletion page). If you cancel Pro, you keep Pro features until the end of the paid period, after which your account continues on the Free plan; downgrading never blocks reading, exporting or recovering your data. We may terminate or suspend the Service for breach of these terms, for legal reasons, for prolonged non-payment, or if we discontinue the Service, in which case we give at least 60 days' notice and a way to export your data, and refund any prepaid period we do not deliver.

9. Availability and backups

We work to keep the Service available and to back up your data, but we cannot promise uninterrupted operation. Keep your own exports of anything critical. Offline mode means your data stays usable on your device during outages. Clearing your browser's site data or uninstalling the app can remove unsynced local changes.

10. Intellectual property

The dizay name, logo, apps and website are owned by Dizay LLC or its licensors and are protected by copyright and trademark law. We grant you a personal, non-transferable, revocable licence to use the apps for their intended purpose. Open-source components are used under their respective licences, listed in the app's notices screen. Feedback you send us may be used without obligation.

11. Disclaimer and liability

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we are not liable for indirect, incidental, special or consequential losses, lost profits, or loss of data that you could have prevented by exporting it. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and USD 50. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, gross negligence or wilful misconduct, or any liability that cannot be limited by law. Consumers keep the rights granted by the laws of their country of residence.

12. Indemnity

If you are a business user, you will indemnify us against claims arising from your content or your breach of these terms. This clause does not apply to consumers where the law does not allow it.

13. Changes to these terms

We may update these terms. For material changes we notify you in the app or by email at least 30 days before they take effect. If you do not agree, cancel your subscription and stop using the Service before that date; continuing to use dizay after it means you accept the new terms.

14. Governing law and disputes

These terms are governed by the laws of the State of Wyoming and the federal laws of the United States, without regard to conflict-of-law rules and without prejudice to mandatory consumer-protection rules of your country of residence. If you are a consumer in the European Union, the United Kingdom or another country whose law gives you the right to sue and be sued in your home courts, you keep that right; the European Commission's online dispute resolution platform is at ec.europa.eu/consumers/odr. Otherwise, disputes are handled by the state or federal courts located in Wyoming, United States. Before starting a claim, write to legal@dizay.app; we try to resolve every dispute informally within 30 days.

15. App store terms

If you downloaded the app from the Apple App Store or Google Play, Apple's or Google's terms also apply. Apple and Google are not parties to these terms, have no obligation to provide maintenance or support for the app, and are not responsible for claims relating to it; Apple and its subsidiaries are third-party beneficiaries of these terms for the iOS app and may enforce them. You confirm that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties.

16. General

These terms, the privacy policy and the refund policy are the whole agreement between you and us about the Service. If a clause is unenforceable, the rest stays in force. We may assign these terms to a successor of the Service with notice to you. Our failure to enforce a clause is not a waiver. These terms are available in French and Arabic; in case of a difference in meaning, the English version prevails where the law allows.
